Chordiant Software Audit Committee to Review Past Stock Option Grant Practices
CUPERTINO, CA - July 24, 2006Chordiant Software, Inc. (Nasdaq: CHRD), the leading provider of Customer Experience (Cx(TM)) software and services, today announced that the audit committee of the Company's board of directors is in the process of conducting an independent review of the Company's historical stock option grant practices and related accounting. This review was initiated in response to a review management conducted. The audit committee is being assisted by independent legal counsel and independent forensic accounting consultants. The Company stated that it will not be in a position to comment on these matters until after the audit committee has completed its review.
In addition, Chordiant said it will not file its quarterly report on Form 10-Q for the quarter ended June 30, 2006 until after the completion of the review, and the Company does not expect the review to be completed until after the date the Form 10-Q is required to be filed.
Chordiant said it plans to announce its preliminary financial results for the third quarter of Fiscal Year 2006 ended June 30, 2006, on Tuesday, August 8, 2006. Chordiant's investor conference call and webcast will take place that day at 2:00 p.m. (Pacific) / 5:00 p.m. (Eastern) / 22:00 GMT (London). Participating in the call and webcast will be Steven R. Springsteel, President and Chief Executive Officer, and Peter Norman, Chief Financial Officer.
